If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

RapidAccess.ai provides a market access intelligence platform for pharmaceutical and biotechnology companies. Our Services include data aggregation, analytics, and insights related to regulatory approvals, reimbursement, and market access information.

The information provided through our Services is for informational purposes only and should not be construed as legal, regulatory, or professional advice.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge your payment method for all applicable fees.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

Price Changes

We may modify pricing with at least 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Scrape, crawl, or use automated means to access the Services without permission
  • Resell, redistribute, or sublicense access to the Services
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by RapidAccess.ai and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

You retain ownership of any data you submit to the Services. By submitting data, you grant us a license to use it as necessary to provide the Services.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAPIDACCESS.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless RapidAccess.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Services ceases immediately.

Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Ontario, Canada.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or notifying you via email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
